Commercial & Contractual Terms
These commercial and contractual terms outline the general framework applicable to business transactions, quotations, orders, product supply, payments, shipments, and international trade activities conducted with North America Trade LLC.
1. General Commercial Framework
North America Trade LLC operates primarily as a B2B international trading and export company. Commercial transactions may involve manufacturers, producers, suppliers, distributors, wholesalers, retailers, foodservice businesses, international buyers, and other commercial partners.

2. Product Quotations
Product quotations are provided based on the information available at the time of preparation. Quotations may include product specifications, packaging, quantity, pricing, availability, shipping requirements, and applicable commercial conditions.
3. Product Availability
Product availability is subject to supplier inventory, production capacity, market conditions, regulatory requirements, and other factors outside the direct control of North America Trade LLC.
Confirmation of product availability should be obtained before finalizing an order or making shipment arrangements.
4. Product Specifications
Product specifications may include, depending on the transaction:
- Product name and description
- Brand or private-label requirements

- Case dimensions and weight

- Quality or regulatory specifications

5. Purchase Orders
Customers may be required to provide a purchase order or other written confirmation identifying the products, quantities, pricing, delivery requirements, and applicable commercial terms.
An order becomes subject to processing once the applicable commercial requirements have been reviewed and accepted by the parties.
6. Pricing & Commercial Terms
Pricing may depend on product selection, volume, packaging, supplier terms, freight requirements, destination, market conditions, and other transaction-specific factors.

7. Payment Terms

Payment conditions may include advance payment, deposit requirements, balance payment before shipment, or other arrangements agreed in writing.
Orders may not proceed to production, preparation, or shipment until applicable payment requirements have been satisfied.
8. Order Changes & Cancellations
Requests to modify or cancel an order should be submitted in writing as soon as possible.
Changes or cancellations may be subject to supplier commitments, production status, product preparation, packaging, logistics arrangements, documentation, or other costs already incurred.
9. Shipping & Delivery Terms
International shipments may be arranged according to the applicable commercial agreement and agreed Incoterms® rules, where used.
Shipping arrangements may involve inland transportation, warehousing, container loading, freight forwarding, ocean transportation, port operations, customs procedures, and destination delivery.
10. International Trade Responsibilities
Depending on the transaction structure, the buyer may be responsible for certain destination-country requirements, including:
- Import licenses or permits
- Customs clearance
- Import duties and taxes
- Destination-country labeling requirements
- Product registration requirements
- Local regulatory approvals
- Inspection requirements
- Final delivery arrangements

11. Documentation
Commercial and shipping documentation may include, when applicable:

12. Product Quality & Claims
Customers should inspect products and packaging upon receipt and notify the appropriate party of any visible damage, shortage, discrepancy, or quality concern within the applicable period established for the transaction.
Claims may require supporting documentation, photographs, inspection reports, shipment records, lot information, or other evidence necessary to evaluate the matter.
13. Force Majeure
North America Trade LLC shall not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, port disruptions, transportation interruptions, labor disputes, government actions, regulatory changes, supplier disruptions, war, or other extraordinary events.
14. Supplier & Third-Party Services
Some transactions may involve manufacturers, producers, freight forwarders, carriers, warehouses, customs brokers, inspection companies, or other third-party service providers.
The availability and performance of such third parties may affect the commercial and logistical process.
15. Confidentiality & Commercial Information
Commercial information exchanged during a business relationship may include pricing, supplier information, product specifications, customer information, purchase requirements, business strategies, and other non-public information.
Parties are expected to handle confidential commercial information responsibly and in accordance with applicable agreements and laws.
16. Contractual Documents
Where applicable, individual transactions may be governed by purchase orders, quotations, invoices, supply agreements, distribution agreements, sales contracts, logistics agreements, or other written documents.
Specific written contractual terms may supplement or supersede these general commercial terms for a particular transaction.
17. Compliance With Applicable Laws
Commercial transactions are subject to applicable laws, regulations, trade requirements, customs requirements, and product-specific regulatory obligations in the relevant jurisdictions.
Customers and business partners are responsible for providing accurate information and complying with applicable requirements within their respective jurisdictions.
